Thanex Terms of Use

1. Introduction and who we are
These Terms of Use ("Terms") are a legal agreement between you and Thanex Ltd ("Thanex", "we", "us", "our"). They govern your access to and use of the Thanex work camera service, including the Thanex mobile app for iOS and Android, the Thanex Cloud web portal at app.thanex.uk, and all related features and content (together, the "Service").
Thanex Ltd is a company registered in England and Wales with company number 16426957. Our registered address is Flat 11, Mill Pond Place, 1 Mill Lane, Maidstone, ME14 1GL. You can contact us about these Terms, the Service, or any legal or data matter at support@thanex.uk. System emails from the Service are sent from noreply@thanex.uk.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
How these Terms are organised: Sections 1 to 18 apply to everyone who uses the Service on any surface, including the mobile app. Section 19 (Subscriptions and billing) applies only to paid plans bought on the web at app.thanex.uk. The mobile app does not sell anything and contains no pricing, billing, or purchase features.
2. Definitions
"Account" means the personal account you create to use the Service.
"Organisation" means the workspace you or someone else creates and names, under which projects and content sit.
"Project" means a workspace within an Organisation where photos and related information are captured and organised.
"Project Content" means the photos captured through the Service and the structured information about them, including the details burned into each photo and the data stored for search and filter.
"Photo Type" means the category you select for a photo at the moment of capture.
"Roles" means the three levels of access described in Section 6: Owner, Admin, and Member.
"AI assistant you connect" means any external artificial intelligence tool or service that you choose to connect to your Thanex data, as described in Section 11.
3. Eligibility
You must be at least 18 years old to create an account or use the Service. The Service is built for use at work in the construction sector and is not intended for children. By using the Service you confirm you are 18 or over.
4. Accounts and sign-in
You need an account to use the Service. You can sign in using an email and password, or using your Apple, Google, or Microsoft account. There is one account per email address.
You are responsible for keeping your sign-in details secure and for all activity that happens under your account. Tell us at support@thanex.uk straight away if you think someone else has used your account.
You must give accurate account information. At account level we collect your full name and email address. How we handle this information is explained in our Privacy Policy.
5. Organisations and projects
After you first sign up, you create an Organisation by giving it a name. Projects are created within an Organisation. Photos are captured and organised inside projects by project, Photo Type, date, location, and who took them.
At project level, a Job Title may be set for you by an Owner or Admin. This appears on photos you capture in that project where it has been set.
6. Roles: Owner, Admin, Member
The Service uses three roles:
- Owner: full control of the Organisation and its projects, including managing members, settings, and content, and permanently deleting content from the bin.
- Admin: can manage projects, members, and content as allowed by the Owner, including permanently deleting content from the bin.
- Member: can capture photos and work within projects they are added to. A Member can mark their own photos invalid but cannot permanently delete content.
The exact actions available to each role are controlled within the Service and may be updated as the Service develops.
7. The Organisation owns Project Content
This is important, so please read it carefully.
The Organisation that owns a project is the legal owner of the Project Content captured in that project. The person who captures a photo is recorded and attributed as the photographer, but does not own the Project Content. Ownership sits with the Organisation.
This means the Organisation decides who can see, use, export, and delete Project Content within the limits of the Service. If you capture photos for an Organisation, you do so for that Organisation, and your rights to that content end when your relationship with the Organisation ends, subject to your data protection rights described in the Privacy Policy.
For data protection purposes, the Organisation is the controller of Project Content and Thanex is the processor. Thanex is the controller of your Account and Service information. This split is explained in full in our Privacy Policy.
8. Your content and acceptable use
You are responsible for the content you capture and the way you use the Service. You agree that you will not use the Service to:
- break any law or regulation, or infringe anyone's rights;
- capture or upload content you have no right to capture or share;
- capture images of people, property, or places where you do not have the permissions or authority you need;
- upload anything harmful, unlawful, defamatory, or that contains malware;
- attempt to gain unauthorised access to the Service or interfere with its operation;
- use the Service to build a competing product or to scrape or copy the Service; or
- misuse the Service in any way that could harm Thanex, other users, or third parties.
We may remove content or restrict use that we reasonably believe breaches these Terms, subject to the Organisation's ownership of Project Content.
9. Permission to capture
You are responsible for having the right to take the photos you capture. Construction sites often include other people, third party property, and areas with site rules, privacy notices, or access conditions. Before you capture, you must make sure you have any permissions, consents, or authority required, including from site owners, employers, and anyone who may appear in a photo.
Thanex does not obtain these permissions for you and is not responsible for your failure to obtain them. As between you and Thanex, you accept responsibility for the content you capture and for having the right to capture and use it.
10. How photos are captured and stored
When you capture a photo, the image and a metadata strip are burned together into a single JPEG file at the moment of capture. The details burned in include the project, the Photo Type, the date, the time, the photographer name, the Job Title where set, any tags and description you add, GPS coordinates where available, and a "Captured with Thanex" watermark.
These burned details are permanently fixed. They cannot be edited or removed after capture. There is no separate unstamped original of the photo, and the file contains no EXIF metadata. A structured copy of the photo information is also stored in our database so you can search, filter, and run AI queries.
Photos are stored in Thanex Cloud. They are not automatically saved to your phone gallery. The app has write only access to your device gallery, which means you can choose to save a photo out of Thanex to your device, but the app does not read or import photos from your existing photo library. The Service is capture only and does not upload photos from your gallery.
GPS coordinates are captured automatically when you have granted location permission, and are shown on the strip. You can turn location off in your device settings, after which GPS is not recorded. Capture still works without GPS, and the absence of GPS never blocks capture.
The current version of the Service supports photos only and does not support video.
11. AI assistants you connect
Thanex Cloud lets you connect external AI assistants you choose, such as Claude, ChatGPT, or Copilot, to your own Thanex data. When you connect an AI assistant, Thanex gives that assistant read access to the structured data in your database and to your images, on your instruction.
Technical detail: this connection is provided through a Model Context Protocol (MCP) connection that exposes your Thanex data to the AI assistant you authorise.
The AI assistant you connect is a third party service that is not owned or controlled by Thanex. When you connect it, Thanex passes your own data to that assistant because you have told us to. What you or the AI assistant then do with that data is your responsibility and is outside Thanex's control. The AI assistant has its own terms and privacy practices, and you should review them before connecting. You are responsible for choosing which assistants to connect, for the access you grant, and for the consequences of that access.
Thanex does not use your photos or content to train its own AI models or those of any third party.
12. Evidence and compliance: no guarantee
Thanex helps you organise work photos with consistent details burned in at the point of capture. The usefulness of any photo as a record depends on you: on the Photo Type you select, on what you choose to capture, and on whether you capture it accurately and completely.
Thanex does not guarantee that any photo, record, or export will be accepted as evidence, will be admissible in any proceedings, or will meet any legal, contractual, regulatory, or insurance requirement. We do not provide legal, evidential, or compliance advice. You are responsible for deciding what you need to capture and for meeting your own obligations. Burned in details such as date, time, and GPS reflect the information available to the device at capture and are provided as a feature, not as a certified or forensic record.
13. Content licence
You and your Organisation keep all rights in Project Content. To run the Service, you grant Thanex a limited, non exclusive, worldwide licence to host, store, copy, transmit, display, and process Project Content only so far as needed to provide, secure, maintain, and support the Service for you, to provide features you use such as search and filter, and to pass data to an AI assistant you connect on your instruction.
This licence does not allow Thanex to use Project Content or any customer content to train Thanex's own artificial intelligence or machine learning models or those of any third party. The licence ends when the content is deleted from the Service, except for copies kept for a limited period in routine backups and any copies we must keep by law.
14. Correcting and deleting photos
Photos cannot be edited after capture. If a photo is wrong, it can be marked invalid, which moves it to a bin. A project Owner or Admin can permanently delete photos from the bin. A Member can mark their own photos invalid but cannot permanently delete them.
When a photo is permanently deleted, it is held for 30 days and then permanently removed from the Service. After permanent removal we may still hold copies for a limited period in routine backups and any copies we must keep by law, as explained in the Privacy Policy.
15. Sharing outside Thanex
The Service may let you share or export photos and records outside Thanex, for example by saving a file to your device or sharing a record with someone else. Once content leaves Thanex, it is outside our control. You are responsible for who you share content with and for how it is used after it leaves the Service. Sharing must comply with these Terms, with your permissions to capture, and with the rights of the Organisation that owns the content.
16. Third party services
The Service relies on third party providers for hosting, storage, sign-in, communications, and other functions. The Service may also work with third party services you choose to connect, including AI assistants. We are not responsible for third party services that we do not control, including their availability, content, or practices. Your use of a connected third party service is governed by that party's own terms and privacy notice.
17. Availability and "as is"
We work to keep the Service available and working well, but we do not promise that it will be uninterrupted, error free, or always available. The Service may be affected by maintenance, updates, faults, or matters outside our reasonable control.
To the fullest extent permitted by law, the Service is provided "as is" and "as available". We do not give any warranties, conditions, or guarantees that are not expressly set out in these Terms, whether express or implied, including any implied terms about satisfactory quality, fitness for a particular purpose, or that the Service will meet your requirements.
18. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold harmless Thanex against any losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or connected with: your breach of these Terms; the content you capture, store, or share; your failure to obtain permissions you need to capture content; your connection of an AI assistant and what is done with data passed to it; or your misuse of the Service. This section does not apply to liability that cannot be excluded by law.
19. Subscriptions and billing (web purchases at app.thanex.uk only)
This section applies only to paid plans bought through Thanex Cloud on the web at app.thanex.uk. It does not apply to the mobile app. The mobile app does not sell subscriptions and contains no billing features.
- Free tier: there is a permanent free tier. It is not a time limited trial.
- Where you buy: paid plans are sold and managed only on the web at app.thanex.uk. There are no in app purchases and no in app billing of any kind.
- Payment processor: payments are taken through Stripe. When you buy a paid plan, you also agree to Stripe's terms, and Stripe processes your payment details. Thanex does not store your full card details.
- Prices, plan details, renewal, cancellation, and refunds: the current price, what each plan includes, how and when it renews, how to cancel, and any refund terms are shown to you at checkout on app.thanex.uk before you pay. The terms shown at checkout apply to your purchase.
- Changes to paid plans: we may change prices and plan features. Where a change affects an ongoing paid plan, we will give you reasonable notice and the change will take effect at your next renewal unless stated otherwise at checkout.
- Cancelling: you can cancel a paid plan as described at app.thanex.uk. When a paid plan ends, your access to paid features ends and your account continues on the free tier unless you delete it.
Your statutory rights, including any rights under the Consumer Rights Act 2015 described in Section 21, are not affected by this section.
20. Limitation of liability
Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be limited or excluded under the laws of England and Wales.
Subject to the paragraph above, and to the fullest extent permitted by law:
- We are not liable for any loss of profit, loss of business, loss of contracts, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss, however it arises.
- We are not liable for any loss arising from your reliance on a photo or record as evidence or for compliance, from content you capture or fail to capture, from data passed to an AI assistant you connect, or from content once it has left the Service.
- Our total liability to you for all claims arising out of or connected with the Service and these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited in total to the greater of the fees you paid to Thanex in the 12 months before the event giving rise to the claim, or one hundred pounds (£100).
21. Consumer rights
If you are using the Service wholly or mainly outside your trade, business, craft, or profession, you may be a consumer under the Consumer Rights Act 2015. Some users, such as certain sole traders, may be consumers depending on how they use the Service.
Nothing in these Terms affects your statutory rights as a consumer that cannot be excluded or limited by law. This includes the right to services carried out with reasonable care and skill. Where the law gives you rights that these Terms cannot lawfully restrict, those rights apply and the limits in these Terms apply only so far as the law allows.
22. Data protection
How we collect and use personal information across the app, the web portal, paid subscriptions, and the AI connection is explained in our Privacy Policy, which forms part of your agreement with us. The Privacy Policy explains the controller and processor split, including that the Organisation is the controller of Project Content and Thanex is the processor, and that Thanex is the controller of Account and Service information.
23. Suspension and termination
You can stop using the Service at any time and can delete your account from within the app and from the web portal.
We may suspend or end your access to the Service, in whole or in part, if you breach these Terms, if we reasonably believe your use creates a legal or security risk, or if we need to do so to protect the Service or other users. Where it is reasonable to do so, we will give you notice.
When your access ends, the sections of these Terms that by their nature should continue will continue, including the sections on ownership of Project Content, content licence so far as needed, indemnity, limitation of liability, and governing law. The Organisation's ownership of Project Content is not affected by the end of your individual account.
24. Changes to these Terms
We may update these Terms from time to time. If we make a significant change, we will give reasonable notice, for example by email or through the Service. By continuing to use the Service after a change takes effect, you accept the updated Terms. The "Last updated" date at the top shows when these Terms last changed.
25. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, including non contractual disputes or claims, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also be able to bring proceedings in the part of the United Kingdom where you live.
